- The legal container for the whole operation. QuantAbundancia, the bot fleet, the subscriptions and the consulting side all run inside a Wyoming LLC (Abundancia Capital LLC), not on a personal account.
- US business banking rails. The LLC's EIN opens US business accounts, including at fintech banks that onboard non-resident owners remotely. USD lives in the US banking system, on ACH and wire rails, instead of a personal account somewhere with shaky banking.
- An entity brokerage account. The trading book lives in the entity's name at the broker (/stack/ibkr supports LLC accounts for non-residents), with its own statements and its own capital. The account does not need re-domiciling when the owner moves countries.
- A bookkeeping wall. Strategy capital sits apart from personal spending, the P&L is legible at tax time, and counterparties (data vendors, payment processors) contract with a US entity.
Why this setup
- Wyoming. $60-minimum annual report, no state income tax to file for this profile, and member names stay off the public register. The default state for a non-resident single-member LLC, and the one this desk uses.
- It is a rails tool, not a tax tool. A non-resident trading their own account already sits inside the US trading safe harbor: the LLC does not lower US tax on trading gains, does not block US estate tax above the $60,000 US-situs exemption, and changes nothing where the owner actually lives. Anyone selling the opposite is selling paper. The full framework is in the research piece.
- The filing is the product. A foreign-owned single-member LLC must file Form 5472 + a pro forma 1120 every year, even with zero revenue. The penalty for missing it: $25,000 per form, per year, against roughly $160 a year in hard running costs. The structure is cheap to keep and expensive to neglect, so what matters in a formation service is not the formation, it is the compliance calendar that comes with it.
The honest limits
- If the only activity is own-account trading from a stable, well-banked residency, a personal brokerage account plus a W-8BEN already covers it. The LLC earns its place when side income, fragile local banking, country moves, or capital separation enter the picture.
- The estate-tax exposure on a large US-stock book is a real conversation, and a plain single-member LLC does not settle it. At that size it belongs with an advisor.
